Alliance Membership Agreement

This Membership Agreement (“Agreement”) is entered into between:

The Alliance of Independent Agencies Middle East, a business duly incorporated and licensed under the Meydan Free Zone, Dubai, United Arab Emirates, holding a valid trade licence (“the Alliance Middle East”, “we”, “us” or “our”);

AND

The applicant agency or individual whose details are provided in the membership application and accepted by the Alliance Middle East (“Member”).

This Agreement sets out the terms and conditions governing Membership with the Alliance Middle East and shall be legally binding upon acceptance.

1. ACCEPTANCE, LEGAL EFFECT AND INCORPORATION

1.1 This Agreement incorporates by reference and must be read together with:

1.2 By submitting a Membership application, renewing Membership, attending the Alliance Middle East, accessing the Alliance Middle East services, or accepting this Agreement electronically (including by ticking an acceptance box), the Member irrevocably confirms and warrants that it:

1.3 This Agreement shall constitute a legally binding contract enforceable under applicable laws, notwithstanding electronic acceptance or absence of physical signatures.

1.4 The Member acknowledges that continued use of Membership benefits constitutes ongoing acceptance of this Agreement, including any amendments made in accordance with Clause 18.

2. DEFINITIONS AND INTERPRETATION

3. MEMBERSHIP ELIGIBILITY AND ACCEPTANCE

3.1 Membership is strictly limited to independent agencies, being businesses that:

3.2 Membership approval is at the sole and absolute discretion of the Alliance Middle East. The Alliance Middle East may accept or reject any application without obligation to provide reasons.

3.3 Acceptance of Membership does not create any partnership, joint venture, employment, agency, or fiduciary relationship between the parties.

4. MEMBERSHIP TERM AND RENEWAL

4.1 Membership is granted for an initial fixed term of twelve (12) months commencing on the agreed start date (“Initial Term”).

4.2 Upon expiry of the Initial Term, Membership shall automatically renew for successive twelve (12) month periods (Renewal Term”), unless validly cancelled in accordance with Clause 12.

4.3 The Alliance Middle East reserves the right to review Membership eligibility upon renewal.

5. FEES, INVOICING AND PAYMENT OBLIGATIONS

5.1 Membership fees shall be payable either:

5.2 Unless otherwise agreed in writing, all invoices shall be payable within twenty-one (21) days from the invoice date, without deduction, set-off, or counterclaim.

5.3 Membership fees are exclusive of any applicable taxes, duties, or governmental charges.

5.4 Annual Membership fees are payable in full in advance. Monthly payment plans are granted solely at the Alliance Middle East’s discretion and do not reduce the Member’s obligation to complete the full twelve (12) month term.

6. NATURE AND USE OF MEMBERSHIP BENEFITS

6.1 Membership benefits are personal to the Member and are granted on a non-exclusive, non transferable, non-assignable, and revocable basis.

6.2 The Member shall not transfer, assign, sublicense, share, or otherwise make Membership benefits available to any third party without prior written consent of the Alliance Middle East.

6.3 All Membership benefits must be used within the applicable Membership Term and shall expire automatically thereafter.

7. CODE OF CONDUCT AND MEMBER OBLIGATIONS

7.1 The Member shall comply at all times with:

7.2 Any breach of the Code of Conduct or misuse of Membership benefits shall entitle the Alliance Middle East to suspend or terminate Membership immediately, without refund or liability.

8. SERVICES AND DISCLAIMER

8.1 The Alliance Middle East shall use reasonable skill and care in providing the Services but does not guarantee any specific commercial, financial, or strategic outcome.

8.2 The Alliance Middle East reserves the right to modify, enhance, suspend, or discontinue any part of the Services at its discretion.

8.3 Failure by the Member to utilise Services shall not entitle the Member to any refund, credit, or compensation.

9. EVENTS

9.1 Event access may be included in Membership or offered at preferential rates.

9.2 Attendance is subject to capacity, advance registration, and compliance with event-specific rules.

9.3 The Alliance Middle East may amend, postpone, reschedule, or cancel events where reasonably necessary, without liability.

10. INTELLECTUAL PROPERTY

10.1 All intellectual property rights in Alliance Middle East materials, branding, content, and Services shall remain the exclusive property of the Alliance Middle East.

10.2 No licence is granted except as expressly stated in this Agreement.

11. DATA PROTECTION

11.1 The Alliance Middle East processes personal data in accordance with:

11.2 The Member consents to such processing for contractual, legal, and legitimate business purposes.

12. TERMINATION AND CANCELLATION

12.1 Membership fees are strictly non-refundable once Membership has commenced.

12.2 Cancellation after the Initial Term requires not less than one (1) months’ written notice prior to renewal. (We need to add in the option for one months cancellation for the monthly subscription members)

13. LIMITATION OF LIABILITY

The Member shall indemnify and hold harmless the Alliance Middle East against all claims, losses, damages, costs, and liabilities arising from the Member’s breach of this Agreement or misuse of Membership.

14. INDEMNITY

The Member indemnifies the Alliance Middle East against claims arising from breach or misuse.

15. FORCE MAJEURE

Neither party shall be liable for failure to perform due to events beyond reasonable control.

16. GOVERNING LAW AND JURISDICTION

16.1 This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Dubai International Financial Centre (DIFC).

16.2 The DIFC Courts shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement.

17. AMENDMENTS

The Alliance Middle East may amend this Agreement from time to time. Continued Membership constitutes acceptance of such amendments.

18. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations.
